By accessing or using the Perta platform and any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. We reserve the right to update these Terms at any time; continued use of the Services after changes constitutes your acceptance of the revised Terms.

2. Use of Service

Perta grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal, non-commercial use, subject to these Terms. You agree to use the Services only for lawful purposes and in accordance with these Terms.

3. User Accounts

To access certain features, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential and not share them with others
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, outdated, or incomplete.

4. Prohibited Conduct

You agree not to:

• Use the Services in any manner that violates applicable laws or regulations
• Impersonate any person or entity or misrepresent your affiliation
• Transmit any harmful, offensive, defamatory, or otherwise objectionable content
• Attempt to gain unauthorized access to any part of the Services or related systems

• Scrape, crawl, or use automated means to access the Services without permission
• Reverse engineer, decompile, or attempt to extract source code from the Services
• Use the Services to send unsolicited communications (spam)

5. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, software, and data — are the exclusive property of Perta or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

You retain ownership of any content you submit through our Services. By submitting content, you grant Perta a worldwide, royalty-free license to use, store, display, and process that content solely as necessary to provide the Services to you.

6. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Perta does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the Services is at your sole risk.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Perta and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising out of or related to your use of or inability to use the Services, even if advised of the possibility of such damages.

In no event shall Perta's total liability to you for all claims exceed the greater of (a) the amount you paid Perta in the 12 months preceding the claim, or (b) $100 USD.

8. Indemnification

You agree to indemnify, defend, and hold harmless Perta and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability.
